Steel Scrap HMS-1, -2 & Used Rail

CONTRACT CODE NUMBER: BUYER’S TRANSACTION CODE:

WHEREAS, Seller hereby agrees and makes an irrevocable, firm commitment to sell and deliver 360,000 MT (12 x 30,000 MT) Metric Ton (+/- 5% at Seller’s option) of HMS-1, -2 USED RAIL SCRAP under the terms and conditions contained herein:

WHEREAS, Buyer hereby agrees and makes an irrevocable, firm commitment to purchase(Three Hundred, Sixty Thousand) 360,000 MT (12 x 30,000 MT) Metric Ton (+/- 5% at Seller’s option) of HMS-1, -2 USED RAIL SCRAP under the terms and conditions contained herein:

AND WHEREAS, each of the officers executing respectively on behalf of the Seller and the Buyer herein each represent that he has the full authority to execute this Contract and that the Buyer and Seller hereto each agree to be bound by the terms and conditions stated herein;
This contract is made for the purchase and sale of 360,000 MT (12 x 30,000 MT) HMS-1, -2 USED RAIL SCRAP and is not intended to be circulated or disclosed, and the articles herein are only for the purpose of this transaction.

ARTICLE 01: ORIGIN

The origin of the HMS-1, -2 USED RAIL SCRAP - will be.: SELLER OPTION.


ARTICLE 02: PRODUCT QUALITY AND SPECIFICATIONS
Description : Heavy Melting Steel; steel scrap including and not limited to plates, beams, rods, structural steel, used rails unless the product is limited to only rail. Only atmospheric rust allowed and no heavy rust is allowed. Chemical Composition: ISRI standard 200-206

The scrap consists out of a mix of mill scrap (stampings, cuttings, bars,etc.), Industrial scrap (nuts, bolts, misc. pieces, etc), auto and truck frames and bodies, railroad scrap (wheels, axles, parts of locomotives and carriages,
etc.), ship scrap (fittings, plate pieces, parts), construction scrap (plate, bars, angle pieces, rods, steel pipe, etc.) and miscellaneous commercial scrap (appliance casings, frames and parts, etc.). Non-metal impurities total 1% (one percent) or less. The scrap will also be totally free from any types of bombs, arms and ammunition, mines, shell, cartridges, sealed containers, gas cylinders , explosive shells or explosive materials in any form either used or otherwise as per the ISRI code below.

Steel scrap defined as HMS 1 & 2 in an 80/20 mix under IRSI codes 200 through 206 as defined in the contract. HMS 1 / 2 - IRSI CODES:

HMS 1 - IRSI Code 200: Heavy melting steel. Wrought iron and/or steel scrap ź inch or steel scrap ź inch and over in thickness. Individual pieces not over 60 x 24 inches (charging box size) prepared in a manner to insure compact charging.

HMS 1 - IRSI Code 201: Heavy melting steel 3 feet x 18 inches. Wrought iron or steel scrap ź inch over in thickness individual pieces not over 36 inches x 18 inches (charging box size) prepared in a manner to insure compact charging.

HMS 1 - IRSI Code 202: Heavy melting steel 5 feet x 18 inches. Wrought iron or steel scrap 1.4 inch and over in thickness individual pieces not over 60 inches x 18 inches (charging box size) prepared in a manner to insure compact charging.

HMS 2 - IRSI Code 203: Heavy melting steel. Wrought iron or steel scrap, black and galvanized. 1/8 inch and over in thickness, charging box size to include material not suitable as No.1 heavy melting steel. Prepared in a manner to ensure
compact charging.

HMS 2 - IRSI Code 204: Same as IRSI 203 but max size 36x18 inches.
HMS 2 - IRSI Code 205: Same as IRSI 204 but free of sheet iron or thin
gauged material.
HMS 2 - IRSI Code 206: Same as IRSI 204, but max size 60 x 18 inches.


QUALITY OF GOODS:The Scrap shall conform to ISRI codes and Specifications in Appendix No.2 hereto. The quality of the goods will be confirmed by a certificate issued by the independent international survey company "SGS (Societe General de Surveillance)" which shall be binding on both parties in all respects, including but not limited to the replacement of faulty goods paid for by the seller. Other quality inspections and at the port of unloading shall be at the buyer’s expense. Buyer’s Personal Inspection is allowed at Buyer’s Expenses after the receipt of (DLC) Documentary Letter of Credit.

ARTICLE 03: PACKING : loose-bulk


ARTICLE 04: BASIS OF DELIVERY

The basis of delivery and shipment shall be metric tons per vessel. Basis of delivery shall be on the basis of One (1) Vessel of metric tons per month after receipt and acceptance of the active SLC. The Total Quantity of the 360,000 MT (12 x 30,000 MT).

ARTICLE 05: PRODUCT DELIVERY

The date of the Bill of Lading shall be considered the date of loading and delivery.

ARTICLE 06: PRODUCT DOCUMENTATION

One set of the following documents consisting of three originals and three non-negotiable copies:
1. Commercial Invoice.
2. Certification of Weight and Quality and quantity issued by S.G.S or similar at the Loading port.
3. Certificate of Origin issued or endorsed by the country of origin. AQSIQ REGISTRATION Certificate
4. Packing List showing gross and net weight and number of Bill of Loading.
5. Quality and Analysis Certificate issued from Scarp-steelManufacture.

ARTICLE 07: CONTRACTED QUANTITIES

The quantity sold by the Seller and purchased by the Buyer will be 360,000 (12 x 30,000 MT) OF HMS#1 &2 AND 360,000 MT OF USED RAILWAYS .
. The total quantity of the contract shall be determined through the Certificate of Weight and Quality issued by S.G.S and the Packing List showing gross and net weight and number of Bill of Lading.

ARTICLE 08: WEIGHT AND QUALITY

The Seller guarantees that each shipment of Steel scrap will be provided with an inspection of weight and S.G.S or similar authority at Seller’s expense shall provide quality at the time of loading and such certificate.

ARTICLE 09: PRODUCT SALE AND PAYMENT TERMS :
Buyer and Seller agree to the following quantities and prices:
Total Quantity: 360,000 (12 x 30,000 MT) (Three Hundred Sixty Thousands) Metric Tons.

Price : USD $230 /MT for HMS-1,-2 CIF ASWP
USD $ 260 /MT FOR USED RAILWAYS. AS CIF TO ASWP.
The Price CIF any port - must be clarified, the price calculated with the No commission (to agree)..
The price of goods includes all costs incurred by Seller up to and including delivery basis CIF at the destination port except where the contract specifically provides for a cost to be borne by the Buyer, port demurrage charges, tariffs, and export/import fees. The unit price is fixed and firm for any quantity not exceeding the maximum permitted under the contract either delivered or stored (if vessels are delayed by the Buyer’s failure to unload in a timely manner) on or before expiry of the period stated in sub-clause 6.1, or such extended period as expressly provided in this contract or agreed by mutual written understanding

ARTICLE 10: PAYMENT TERMS
1-- The Seller shall sell, and the Buyer shall buy 360,000 MT (12 x 30,000 MT) (Three Hundred Sixty Thousand Metric Ton) of STEEL SCRAP at the price of USD $230 /MT for HMS-1,-2 CIF ASWP .

2-- Rights of first refusal of rollovers of this Contract are hereby guaranted to the Buyer of the amount of Three Hundred Sixty Thousand. 360,000 MT (12 x 30,000 MT) .

3--The total value of this Contract shall be Eighty tow Million, Eight Hundred Thousand U.S. dollars (USD $82,800,000) , AND NIGHNTH THREE MILLION AND SIX HUNDRED THOUSAND USD FOR USED RAILWAYS.

4--The Buyer pay the total amount due hereunder this Contract to the Seller’s Nominated bank account with payment to be effected in the United States Dollars by delivery of Irrevocable, Transferable, Unrestricted and Unconditional Fully Funded Stand By Letter of Credit (“FFSLC”) in strict accordance with text in Annex B, issued via the Society of Worldwide Inter-bank Financial Telecommunications (hereinafter known as “SWIFT”); confirmed and guaranteed for payment by a First Cl********* World bank acceptable to the Seller’s bank hereinafter referred to as “SLC”).

5-- Failure by the Buyer to meet all the terms and conditions in Article 4 in full shall give NHR the right to terminate this offer forthwith, without prejudice to any rights or remedies for NHR.

6-- The text of the SLC shall be provided by the Buyer’s bank and accepted by the Seller prior to issuance of the operative StandBy Letter of Credit.

7--The buyer shall pay all bank charges and expenses, including reimbursement charges, if any, imposed by the issuing bank for the establishment and issuance of any financial instruments.
